End User License Agreement (EULA)

IMPORTANT: PLEASE READ THIS LICENSE CAREFULLY BEFORE PURCHASING, DOWNLOADING, OR INSTALLING THE SOFTWARE. BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE.

1. Parties

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and FabLogic ("Licensor") for the FabLogic desktop software product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

2. Grant of License

Licensor grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your personal or internal business purposes strictly in accordance with the terms of this Agreement.

  • Installation: You may install and use the Software on a single computer or device per valid license key purchased.
  • Backup Copy: You may make one copy of the Software for backup and archival purposes only.

3. Restrictions

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.
  • Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
  • Remove, alter, or obscure any proprietary notice (including any copyright notice or trademark) of Licensor or its affiliates, partners, suppliers, or the licensors of the Software.

4. Data & Integration (Intuit/QuickBooks)

The Software is designed to integrate with Intuit Inc.'s QuickBooks Online and/or QuickBooks Desktop services ("Intuit Services").

  • Data Privacy: The Software operates as a "local-first" application. Your financial data synced from QuickBooks is stored locally on your device in a secure SQLite database. FabLogic does not transmit your financial data to its own servers for storage or analysis.
  • Intuit Disclaimer: You acknowledge and agree that Intuit Inc. is not a party to this Agreement and has no obligation to provide any maintenance or support services with respect to the Software.
  • API Usage: Your use of the Software's integration features is subject to the terms and conditions required by Intuit for accessing their API. FabLogic is not responsible for any changes to the Intuit Services that may render the Software incompatible.

5. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Licensor if you fail to comply with any term(s) of this Agreement. Upon termination of the Agreement, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

6. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
